Board Controls
An integral part of structure and good corporate governance are appropriate Board controls. These should be formalised through a Board Control Manual that sets out the high level governance arrangements including delegations of authority, policy and decision-making arrangements within the company or group.
Apart from aligning your internal thinking the Board Control Manual can be provided to regulators on demand, provided to new directors, external auditors and referred to frequently, as required.
The Board Control Manual should also set out the company/group’s approach to the governance of divisions/subsidiaries and the delegation of authorities to them from the Board, through the Group Chairman, the Group Chief Executive and the Group Finance Director. One of the regulatory 'hot topics' is Board governance and they frequently check Board Controls during a visit. Evidence of a comprehensive Board Control Manual ticks many regulatory boxes.
Common areas of difficulty
- Out of date records - the reality has moved on.
- New requirements of law and regulation are not captured or reflected ( often the case with audit risk and compliance committees).
