A Board evaluation may take many shapes and forms starting with a simple in-house designed and
facilitated Board member Board evaluation questionnaire right up to a fully facilitated external evaluation. It is increasingly becoming the trend, following the FRC's new UK Corporate Governance Code and its adoption by the FSA for firms to conduct an external Board review irrespective of
whether the company is in the FTSE 350 or not, but more as a follow-up to an FSA ARROW visit.
When a firm decides to conduct an externally facilitated review every 3 years, in accordance with the Code the question remains as to how to ensure the interim years also provide valuable feedback and show progress through the adoption of any action plans. Firms often use the same questionnaire year after year risking that the directors will become complacent and just use the forms as a box-ticking exercise. When the questions are varied or provided from an external provider it can add the momentum required to fully engage directors and increase Board effectiveness.
