In the financial services and regulatory sector it is now seen as key to engage an external facilitator for a Board evaluation facilitation periodically to provide the appropriate level of independence for collation of inputs and presentation of a reporting document that identifies and categorises issues raised without attribution to individual directors.
Where a board is committed to an external review process, a qualified external reviewer can make a substantial critical input so that the overall review process becomes a catalyst for board awareness and improvement in the areas identified in the review – which are likely to include strategic development and risk management, board composition and individual contributions, levels of board process and support and the effectiveness of delegated committees.
Some Boards use an external facilitation process annually, whilst others undertake one every other or every third year, with internal reviews in the intervening years. Each company defines the scope of the mandate that is given and the greater the freedom given to the evaluator for an in-depth ‘no-holds barred’ review the greater the benefit to the Board and shareholders.
Evaluation Statements provide the following information:
- Identification of the external reviewer and, as a means of underlining the objectivity and independence of the process, indicates whether the reviewer has any other significant business relationship with the company.
- Indication of outcomes of the evaluation process.
- Conclusions on how to improve the functioning of the board had been drawn from it and are being implemented.
- Confirmation that individual directors have had the opportunity to raise questions and concerns and that necessary actions have been or are being taken to remedy any material weaknesses identified in the evaluation process.
The statement on this evaluation is contained within a separate section of the annual report describing the work of the board, the nomination or corporate governance committee as appropriate.
